Why Shanghai, and the one case where it is the wrong city
Shanghai suits a corporate parent that needs a China entity for revenue recognition, intellectual property control and hiring, and that values speed and compliance over the lowest possible cost. The city has the deepest professional bench in the country, the fastest corporate banking for a clean file, and a set of zones that let you match your tax position to your business. For most parent companies establishing a first China subsidiary with real substance, it is the default, and it is the default for good reasons rather than habit.
Here is the case against Shanghai, stated because a firm that only ever recommends the expensive city is not advising you. If you are a Hong Kong parent whose supply chain sits in Shenzhen, Qianhai frequently fits better than Shanghai, for proximity and for the cross-border structures the Greater Bay Area offers. And if your business is small-lot market sourcing for export rather than a corporate operation, the honest answer is that company registration in Yiwu and its 1039 trade mode will serve you better and cost far less. Shanghai is the right city for a specific profile, and pretending it is right for everyone is how founders end up over-structured and over-billed.
Zone selection, in full, because it decides everything downstream
In Shanghai your registered address places you in a zone, the zone determines which tax bureau administers you, and the bureau determines which incentives and which treatment you can access. This is why your registered address is a strategic decision rather than an overhead line, and why we start here rather than with the filing. The main choices are the China (Shanghai) Pilot Free Trade Zone and its Lin-gang Special Area, the Pudong New Area including the Jinqiao and Biyun sub-districts, the Hongqiao business district, and areas such as Xuhui for services and technology, each with a different character and a different reason to choose it.
Lin-gang, and the sector gate founders miss
Lin-gang is the zone people ask for by name because of its headline: a reduced corporate income tax rate of 15%, against the standard 25% under the PRC Corporate Income Tax Law. The detail that matters, and that most brochures skip, is that this rate is available only to qualified enterprises in designated key industries, integrated circuits, artificial intelligence, biomedicine and civil aviation, for five years from establishment, and it has been in force since 1 January 2020, according to PwC's Worldwide Tax Summaries. If your business is not in one of those gated sectors, registering in Lin-gang does not give you the rate. The sector gate, not the address, is what qualifies you, and we check that before recommending the zone, because a company placed in Lin-gang on the assumption of a rate it cannot claim has paid for prestige rather than tax treatment.
Pudong, Hongqiao and the Free Trade Account
For most corporate activity that is not in a Lin-gang sector, the Pudong New Area and the wider Free Trade Zone are the workhorse choices, with mature administration and the deepest pool of banks and professional services. The Free Trade Account, available in the FTZ, is a genuinely useful instrument for cross-border cash management, letting a group move funds more freely than a standard account allows. Hongqiao suits businesses oriented toward the Yangtze River Delta and the transport links west of the city. The right answer among these is driven by where your customers, your people and your money actually sit, and we make that call with you rather than defaulting to the most famous name.
Regional headquarters, if the group is bigger than one entity
Shanghai is also where multinational groups place a regional headquarters, and for a parent building more than a single subsidiary that status is worth understanding early. A recognised regional headquarters can bring administrative conveniences and, in some cases, local support, and it changes how you might structure a first entity if more are coming. It is not relevant to a company setting up one small WFOE, and we will not push it on you if it does not fit, but for a group with a China roadmap it can shape the entity you register now so that it does not have to be unpicked later. The registration itself, at the depth it deserves
Once the zone is chosen, the registration follows, and in Shanghai it is a more deliberate exercise than in a trading city because the choices carry tax and compliance weight. The zone you selected decides which market regulator handles your filing, so Lin-gang, Pudong and Hongqiao route through different offices with their own rhythms. The sequence is name reservation, business scope drafting, the business licence, the company chops, then bank account opening with tax and foreign-exchange registration.
Entity type is a real choice here, not a default
Unlike a market city where a trading WFOE is the obvious answer, Shanghai commonly hosts consulting, trading and technology WFOEs, and which one you register shapes your scope, your tax profile and your eligibility for zone treatment. Choosing it is a genuine decision that should follow your business model and your group's plans, not a template. The documents, and why the apostille matters now
A corporate shareholder brings a document burden a personal shareholder does not: the parent's certificate of incorporation, its board resolutions authorising the investment, and evidence of its signatories all have to be produced in a form Chinese authorities accept. Since the Apostille Convention took effect for China in November 2023, documents from other member countries are legalised by apostille rather than the older, slower consular legalisation, which has genuinely shortened this step for most foreign parents. It still takes time, and it is the part of a Shanghai setup that most often runs on the critical path, so we start the parent-company documents first while the faster local steps proceed in parallel.
Registered capital, and the number that does not trigger a query
Registered capital in Shanghai norms is higher than in a trading city, and the figure is a signal. Too low for your stated scope and the market regulator may query whether the business is real; too high and you have committed to paying in more than you need within the five-year deadline set by Article 47 of the 2024 revised Company Law, effective 1 July 2024. The right number is credible for your model and comfortable for your cash plan, and we set it with you rather than copying a figure off another company, because the number that passes cleanly is the one that fits your actual business.

What a first year in Shanghai costs, setup plus compliance
A corporate parent frames this as setup plus first-year compliance, not a single setup fee, because the recurring compliance is the part the internal budget has to carry. The four drivers are the entity and zone you choose, the address and its zone rent, your headcount and the social insurance and work permits attached to it, and the professional compliance the group requires. Shanghai sits at the higher end of the national cost range precisely because it offers the speed, the banking and the professional depth that a corporate operation needs, and that trade is usually worth making for the right company.
The market spread across providers is wide and mostly reflects what a quote includes rather than quality, so the way to compare is to force every provider to name the exclusions. On this site they are stated: registered capital as it is paid in, government fees, apostille and certified translation of your corporate documents, office rent, and the statutory third-party audit. Each is real and recurring, and a quote that hides them is not cheaper, it is simply less complete, which for a finance director assembling a defensible budget is the opposite of helpful. We price the first year whole so the number you take to your board is the number you will actually spend.
One distinction to carry into the board paper: registered capital is not a cost. It is capital the group commits to fund into its own subsidiary, it stays group money and is spent inside the entity, and it sits outside every fee on this page. Treating it as an expense line overstates the cost of entry, sometimes by an order of magnitude.
Note that Lin-gang is not the only path to 15%. High and New Technology Enterprise status, HNTE, reaches the same rate nationwide, judged on the company's intellectual property and research spend rather than on its zone, and it can be held alongside or instead of a zone incentive. For a group weighing Lin-gang against a cheaper address, that comparison belongs in the model.

The business licence moves quickly, and the bank account, which is the step that sets the working date, is faster here than anywhere else in the country when the ownership is straightforward and the address is real. The most expensive Shanghai mistake is choosing a zone for its headline rather than its eligibility, most often registering in Lin-gang expecting a 15% rate the business does not qualify for, and paying premium costs for a benefit that never arrives. The second is treating the registered address as an overhead to minimise, taking a cheap or virtual address that then blocks a tier-one bank or fails a zone's substance expectation. The third is a scope drafted as a formality, which in Shanghai can misalign with zone incentives or invite a tax bureau question. Each is a decision made too lightly at the start, and each is avoidable by treating the zone, the address and the scope as the strategic choices they are.

It depends on what you do, because the zone decides your tax bureau and which incentives you can reach. Lin-gang offers a 15% corporate income tax rate under Cai Shui [2020] No. 38, but only for qualified enterprises in specific sectors such as integrated circuits, artificial intelligence, biomedicine and civil aviation. Pudong and the wider Free Trade Zone suit most corporate activity. The address is a strategic choice, not an overhead line, and we choose it against your actual business rather than a brochure.
Is the Lin-gang 15% tax rate available to any company there?
No, and this is the detail founders most often miss. The reduced 15% corporate income tax rate in Lin-gang applies to qualified enterprises in designated key industries, for five years from establishment, and it has run since 1 January 2020, according to PwC's Worldwide Tax Summaries. Does our legal representative need to be in Shanghai?
For parts of the process, yes. The legal representative typically appears in person for the bank account opening, and some filings expect their involvement, even though much of the registration can be handled with documents you supply. Can a Hong Kong parent just set up in Shanghai?
It can, but it is not always the right call, and we will say so. If you are a Hong Kong parent with a Shenzhen supply chain, Qianhai often fits better than Shanghai for proximity and cross-border structure. Shanghai is the right answer for a great many corporate parents, but not automatically for one whose centre of gravity is the Greater Bay Area. We would rather point you to the better city than sell you this one.

Do we need the Apostille Convention for our parent-company documents?
If your parent is in a member country, yes, and it helps you. Since the Apostille Convention took effect for China in November 2023, documents from member states are legalised by apostille rather than by the older consular legalisation, which is faster. Your parent's incorporation certificate and board resolutions still need to be apostilled and certified-translated, so we start them first because they tend to sit on the critical path.
Is a virtual address a real option for a Shanghai WFOE?
Usually not, and this is where Shanghai differs from a trading city. A registered-only address will slow or block opening at a tier-one bank, and zone incentives generally expect real premises, so a virtual address here is often a false economy that costs more than it saves.
